Next Rev Terms of Service

1. Acceptance of Terms

By accessing or using any Next Rev product or service, you ("Merchant", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

These Terms govern your use of Next Rev applications installed on your point-of-sale system (the "Platform" or "POS System"). Your use of our apps is also subject to the terms and conditions of the Platform on which they are installed.

These Terms incorporate by reference our Privacy Policy, available at https://nxtrev.com/privacy.html, which describes how we collect, use, and protect your data.

2. Services Description

Next Rev develops software for point-of-sale systems. Our current products include:

2.1 Member Link

A POS application for merchants with private memberships. Member Link lets staff scan a membership card to open a tab and attach a member to an in-progress order from the POS payment screen.

  • Runs on the POS device
  • Connects to the Platform's REST API to read customer records, read and write orders, and read merchant configuration (order types)
  • No account or login required beyond your merchant account on the Platform
  • Does not transmit data to Next Rev or any third party

2.2 Terminal Settlement Report

A POS application that produces a per-shift cash drawer reconciliation receipt for bartenders.

  • Runs on the POS device
  • Connects to the Platform's REST API to read employee shift records, cash drawer events, and the bartender's orders, payments, and refunds (read-only)
  • Prints the settlement receipt to the POS device's built-in receipt printer
  • Does not persist any data on the device — the report is computed on demand
  • No account or login required beyond your merchant account on the Platform
  • Does not transmit data to Next Rev or any third party

3. Your Obligations

3.1 General Obligations

As a merchant using Next Rev apps, you agree to:

  • Use the apps only for lawful business purposes
  • Comply with all applicable laws and regulations
  • Not misuse, abuse, or attempt to reverse engineer the apps
  • Not redistribute or resell the apps

3.2 Prohibited Uses

You may not use Next Rev apps to:

  • Engage in fraudulent or deceptive practices
  • Transmit malware, viruses, or harmful code
  • Interfere with the operation of POS devices or other apps

4. Intellectual Property

4.1 Next Rev Property

Next Rev retains all rights, title, and interest in and to its apps, including:

  • Software code, architecture, and algorithms
  • User interfaces, designs, and visual elements
  • Trademarks, logos, and branding (Next Rev, Member Link, Terminal Settlement Report)

4.2 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use our apps on your POS devices for your internal business purposes, subject to these Terms.

5. Confidentiality, Data, and Ideas

5.1  Neither of us will disclose non-public information about the other's business; including, without limitation, the terms of these Terms, technical specifications (whether related to the apps or otherwise), customer lists, or information relating to a party's operational, strategic, or financial matters (together, Confidential Information). Confidential Information does not include information that (1) is or subsequently becomes publicly available (through no fault of the recipient); (2) the recipient lawfully possesses before its disclosure; (3) is independently developed without reliance on the discloser's Confidential Information; or (4) is received from a third party that is not obligated to keep it confidential. Each of us will implement and maintain reasonable safeguards to protect the other's Confidential Information.

5.2  Neither of us may disclose the other's Confidential Information except (1) to our respective directors, officers, employees, or representatives that need to know it in order to perform our obligations under these Terms; (2) in response to a subpoena or court order; or (3) as required by applicable law, rule, or regulation.

5.3  Next Rev may use data or information obtained through the apps to provide its services, for research and development, or in aggregated and anonymized form to provide services generally; all subject to applicable laws. Information Next Rev collects about you or your consumers is subject to Next Rev's privacy policy, which is accessible at https://nxtrev.com/privacy.html.

5.4  You may provide, or Next Rev may invite you to provide, comments or ideas about the apps (including, without limitation, improvements to them) (together, Ideas). By submitting any Ideas, you agree that (1) they are not Confidential Information; (2) they are not subject to any use or disclosure restrictions (express or implied); (3) you claim no rights in them; and (4) Next Rev has no obligation to notify or compensate you in connection with their disclosure or use. You release Next Rev from all liability or obligations that may arise from the receipt, review, disclosure, or use of any Idea that you submit.

6. Service Availability

6.1 Availability

Our apps run locally on your POS device and do not depend on external servers. App availability depends on your POS device functioning properly.

6.2 Updates

We may release updates to our apps through the Platform's app marketplace. Updates may include bug fixes, improvements, or new features.

6.3 Support

Support is available via email at support@nxtrev.com.

7. Fees

Next Rev's apps are provided to you free of charge. There is no subscription fee, license fee, or usage charge, and no payment method is required to install or use them. Next Rev does not process payments and does not bill you through the Platform or by any other means.

If Next Rev offers a paid product or a paid tier of an existing app in the future, it will be offered under separate terms that you must accept before any charge applies.

8. Limitation of Liability

8.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT REV APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NEXT REV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
  • NEXT REV'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APPS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NEXT REV IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.3 Exceptions

These limitations do not apply to liability that cannot be excluded or limited under applicable law.

9. Compliance with Privacy Laws

Next Rev Inc. makes the following additional commitments, representations, and warranties to you, Merchant:

9.1  Next Rev will only process Merchant Data and Personal Information on behalf of, and as Service Provider of, the Merchant, and not collect, retain, use, or disclose that data for any purpose other than to perform Next Rev's obligations under these Terms, as permitted under CCPA and other applicable privacy and data protection laws (collectively, Privacy Laws). In no event will Next Rev sell (as defined by Privacy Laws) any such personal information.

9.2  Next Rev will not collect, use, retain, disclose, sell, or otherwise make Merchant Data or Personal Information available for Next Rev's own commercial purposes or in a way that does not comply with the CCPA or other Privacy Laws.

9.3  Next Rev will limit personal information collection, use, retention, and disclosure to activities reasonably necessary and proportionate to provide the Services set forth in these Terms or another compatible operational purpose.

10. Data Subject Rights — Assistance with Requests

10.1  Next Rev will reasonably cooperate and assist Merchant with meeting Merchant's CCPA and Privacy Law compliance obligations and respond to CCPA-related inquiries, including responding to verifiable consumer requests, taking into account, the nature of Next Rev's processing, and the information available to Next Rev. Next Rev will make available to Merchant, in a manner consistent with the functionality of the Service and Next Rev's role as a Service Provider of Personal Information of data subjects, the ability to fulfill data subject requests to exercise their rights under Privacy Laws.

10.2  If Next Rev receives a request from Merchant's data subject to exercise one or more of its rights under Privacy Laws in connection with the Services, Next Rev will redirect the data subject to make its request directly to Merchant. Merchant will be responsible for responding to any such request including, where possible, by using the functionality of the Services. Next Rev shall comply with reasonable requests by Merchant to assist with Merchant's response to such a data subject request.

10.3  Next Rev must notify the Merchant immediately if it receives any complaint, notice, or communication that directly or indirectly relates either party's compliance with Privacy Laws relating to provisioning of the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Next Rev and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of Next Rev apps
  • Your violation of these Terms
  • Your violation of any law or regulation

12. Termination

12.1 Termination by You

You may stop using any Next Rev app at any time by uninstalling it from your POS device.

12.2 Termination by Next Rev

We may discontinue any app at any time with reasonable notice through the Platform.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on this page with a new "Last Updated" date. Your continued use of Next Rev apps after changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising from or relating to these Terms shall be resolved as follows:

  • Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at support@nxtrev.com.
  • Jurisdiction: If informal resolution fails, any legal action shall be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Next Rev regarding the use of our apps.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any successor or affiliate without restriction.

Notices: We may send notices through the Platform or to the email address associated with your merchant account. You may send notices to support@nxtrev.com.
